Terms of Service

These Terms are an agreement between you and Mactranova Group, LLC (“we”, “us”) about your use of CoLabEx, our website and app (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for an organization (a company, team, school or class), you confirm you have authority to accept these Terms for it.

You must be at least 16 years old, and old enough to form a binding contract where you live. If we learn that someone under 16 has an account, we may close it. You may not use the Service if you have been banned from it, or if the law prohibits you from doing so.

• Give accurate information and keep it up to date. You must confirm your email address; you can add backup email addresses in Settings.
• Keep your password secret and use one you don’t use elsewhere. You are responsible for what happens under your account.
• One person, one account. Don’t share an account or create accounts to get around a limit, a cap or a ban.
• Tell us promptly if you think your account was used without your permission.

CoLabEx helps people plan and track projects, work together, keep records of who contributed what and what was agreed, and learn. We provide tools; we are not a party to the agreements people make with each other on the platform.

• Records, not money movement. Where the Service tracks cash, equity percentages, course credit or other value, it is keeping records of what participants have agreed. We are not a bank, payment processor, escrow agent, broker, or securities intermediary, and we do not guarantee that anyone will be paid or that any equity or ownership is legally issued. Participants are responsible for actually paying and being paid, for any contracts, and for their own taxes.
• Independent work. Unless a separate written agreement says otherwise, freelancers and contributors are independent of CoLabEx and of each other; we do not employ them and are not responsible for how projects are classified or managed.
• No professional advice. Nothing in the Service is legal, tax, financial, medical or other professional advice.
• Fees. Any platform or project-manager share, or other fee, is shown in the product when you create or join a project. We may change fees for the future with notice; changes don’t affect a project you already agreed to unless you agree.

You own the content you create and upload (“Your Content”). You give us a limited, worldwide license to store, copy, display and process Your Content only as needed to run the Service and as your settings and actions direct (for example, showing a task to your project team, or a profile you made public). You are responsible for Your Content and confirm you have the right to share it. We may remove content that breaks these Terms or the law.

If you send us feedback or ideas, we may use them to improve the Service without owing you anything for them. Other people’s content in the Service belongs to them; don’t copy it without permission.

Don’t:

• break the law, or use the Service to plan or carry out harm;
• harass, threaten, discriminate against, or impersonate anyone, or post someone’s private information without permission;
• upload malware, or try to disrupt, probe, overload or gain unauthorized access to the Service, other accounts or our systems;
• scrape or copy the Service at scale, or work around limits, caps, rate limits or usage caps (including AI limits);
• infringe copyright, trademarks or other rights;
• post fake ratings or reviews, or misrepresent your skills, credentials, identity, experience or results;
• use invitations, class codes or messaging to send spam;
• cheat in a class in a way your instructor or institution prohibits, or help others do so.

We may investigate and take action, including removing content or suspending an account, if we think these rules were broken.

• Instructors and institutions run their own classes: they decide the coursework, how it is graded, and what information they collect from students, and they are responsible for doing so lawfully. We provide the tools.
• Not an accredited record. Skill points, badges, quiz scores and credentials on CoLabEx are records of activity on the platform. They are not degrees, licenses or official transcripts, and they are not issued or endorsed by any school or licensing body unless it says so.
• Study content is practice. Practice questions and study tracks — including those for nursing and licensing exams — are study aids written for CoLabEx or linked from other sources. They are not real exam questions, are not a substitute for your course, textbook or instructor, do not guarantee any exam result, and are not professional or clinical advice. Clinical practice varies by institution and changes over time; follow your program and your facility’s policies.
• Skill lessons teach knowledge. Hands-on skills must be practiced and checked in person by a qualified instructor. Completing a lesson does not certify that anyone can perform a skill on a client or patient.

The Service links to, and may display, materials from other organizations (for example free textbooks and official exam pages) and works with other services. Those are governed by their own terms and privacy policies, and we are not responsible for them.

Some features use artificial intelligence to draft summaries or suggestions. Results can be wrong, incomplete or out of date. Review them before you rely on them; you remain responsible for what you do with them. Don’t submit information you aren’t allowed to share. We may limit AI use per person and per day.

Some features let you or your organization make things visible to others — a public profile, a public project, a guest link, a public class listing. Anyone who has a guest link can see what it shows, so share it carefully and turn it off when you no longer need it.

CoLabEx is in an early-access beta. It may contain bugs, change or lose features, be unavailable at times, and we may limit the number of people who can join, keep a waitlist, or change who can join and when. We do not promise uninterrupted or error-free service. Please keep your own copies of anything important (you can export task lists and other records).

You can stop using the Service at any time, and you can ask us to delete your account (see the Privacy Policy). We may suspend or end your access if you break these Terms, create risk or legal exposure for us or others, or if we stop offering the Service; where reasonable we will tell you why and give you a chance to export your data. Sections that by their nature should survive (such as content licenses already granted for shared work, disclaimers, liability limits and disputes) do.

The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Service will meet your needs, be accurate, or be uninterrupted or secure.

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or opportunities, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or US$100. Some places don’t allow these limits, so they may not fully apply to you.

You agree to cover claims and costs (including reasonable legal fees) brought by others that arise from Your Content, your misuse of the Service, or your breach of these Terms or the law, to the extent the law allows.

If something goes wrong, please contact us first so we can try to fix it informally. These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law rules, and any dispute that we cannot resolve informally will be brought in the state or federal courts located in Lake County, Indiana, unless the law where you live gives you the right to bring it elsewhere.

We may update these Terms. We will post the new version here with a new date and, for important changes, tell you by email or inside CoLabEx. We may also change or discontinue parts of the Service. If you keep using the Service after a change takes effect, you accept it; if you don’t agree, stop using the Service.

These Terms and the Privacy Policy are the whole agreement between us about the Service. If a part is unenforceable, the rest stays in effect. Not enforcing a rule isn’t giving it up. You may not transfer your account or rights; we may transfer ours as part of a business change.
